     <content:encoded><![CDATA[<p>INDIANAPOLIS, Nov. 19, 2009 -- Kevin G. McBride announced today that he and Noble Roman&#39;s, Inc. (OTC/BB: NROM) had resolved a lawsuit seeking that Noble Roman&#39;s comply with Indiana law related to certain shareholder rights.  </p><p>Specifically, Noble Roman&#39;s agreed to hold a shareholder meeting before March 31, 2010 and provided Mr. McBride&#39;s counsel with a list of NROM shareholders. The complaint originated in Indiana&#39;s Marion County Superior Court on July 15, 2009 (Cause # 49D14-0907-PL-033309) and the order of dismissal was signed on November 17, 2009.</p><p>State law requires that Indiana corporations hold annual shareholder meetings. As a result of the complaint, Noble Roman&#39;s, Inc. admitted that it had not held a meeting of shareholders in at least seven years and the company agreed to hold an annual meeting of shareholders in the first quarter of 2010.</p><p>&#39;While I&#39;m pleased with the agreement, I&#39;m disappointed that it required several months of effort and many thousands of dollars in legal fees for Noble Roman&#39;s, Inc. to comply with basic Indiana shareholder rights laws,&#39; said Mr. McBride. &#39;Further, I hope the company uses the upcoming meeting to propose governance changes which will create a Board of Directors that is less insular and more fully represents the interests of all shareholders.      <content:encoded><![CDATA[<p>Hays, the world&#39;s leading recruiting experts in qualified, professional and skilled people, has revealed that whilst it is premature to talk about a recovery in the legal market, signs are emerging that recruitment activity for certain niche skill sets has remained steady.</p><p>Hiring levels for transactional roles within private practice continue to remain static, but organisations are still keen to bring in specialist skills within certain sectors, such as professional indemnity, clinical negligence and insurance. Regulatory experience is also sought in both commerce and private practice, as employers continue to assess risk, particularly within the financial services sector.  </p><p>&#34;Although we cannot say with any degree of certainty that the market has turned the corner, we are experiencing signs of cautious optimism. Private practice firms are recruiting, particularly if they have a commercial and strategic reason to do so, for example senior level partners who have a following of clients,&#34; said Helen Godwin, Regional Director at Hays Legal. </p><p>Demand for in-house roles has risen within the banking and financial services sectors, particularly in the derivatives, funds and asset management sectors.      <content:encoded><![CDATA[<p>HMRC (Her Majesty&#39;s Revenue and Customs) have become concerned that football and rugby clubs and their players may be exploiting a tax loophole which allows them to avoid paying tax on image rights payments. </p><p>HMRC are currently investigating all 12 Guinness Premiership clubs and it is believed that County Cricket and Rugby League clubs are also under scrutiny; top football clubs could be the next big target.</p><p>A rugby club official said: &#39;Some clubs face a potentially huge bill if the Revenue finds instances of image rights being paid in lieu of salary, thus avoiding PAYE and National Insurance, but there is a feeling that it is using rugby and cricket to establish ground rules before moving on to the biggest football clubs.&#39;</p><p>Image rights refer to an individual&#39;s right to prevent unauthorised use of their name, likeness or any other personal attributes. Sports clubs pay players large sums of money, sometimes up to a fifth of their total salary, for the right to use their image in advertising and in general promotion of the club. </p><p>The HMRC is investigating allegations that clubs and players have been placing money gained from image rights transactions into offshore accounts, thus avoiding paying tax on a significant portion of their income. </p><p>If the Revenue is successful in proving the sums are taxable, it could be backdated until 2006.</p><p>Kevin Kinsella, Chief Executive of the UK&#39;s foremost tax investigation firm KinsellaTax Investigations Ltd., noted, &#39;I read with interest that HMRC are planning on investigating sports clubs as I have previously acted on behalf of a number of high profile football league players; mainly of the old brigade. At the Summit, the purpose of which was to facilitate an open dialogue between members of the public and private sectors about the dangers of distracted driving, several research scientists cited a study from the Virginia Tech Transportation Institute which found that sending text messages while driving increased the likelihood of an accident by a staggering 2300%.  By comparison, a person who operates a motor vehicle while legally intoxicated is only 8 times more likely to be in an accident than a non-intoxicated driver.<br /> <br />Despite unanimous agreement that texting while driving needs to be banned, there remains a conspicuous absence of any viable method to enforce the proposed Federal anti-texting legislation.  In fact, at a Senate Hearing held on October 28, 2009, Senator Rockefeller (D &#8211; West Virginia) repeatedly asked Secretary LaHood and Federal Communications Commission (FCC) Chairman Julius Genachowski whether technology exists that would allow the States the ability to enforce anti-texting legislation.  Now, with Drive Safely Corp.&#39;s new product, Anti-Messaging Technology (AMT), the answer to that question is an unequivocal &#39;yes.&#39;</p><p>AMT, developed by Drive Safely Corp., utilizes Global Positioning Satellite (GPS) data to ascertain whether the user&#39;s mobile phone is in a moving vehicle.  If AMT determines that the phone is in motion, a screen pops up whenever the user first attempts to read or send an SMS text, MMS or e-mail.  If the user accesses the phone&#39;s messenger services (to receive or send a text, for example) a screen advises the user that &#39;Texting While Driving is Illegal,&#39; and then asks the following question: &#39;Are you a driver?&#39;  If the answer is &#39;yes,&#39; the phone&#39;s messenger capabilities are disabled until the phone has been at rest for a period of time. In order to avoid immediate disablement of the phone&#39;s messenger functions, the user must input the data exactly as shown in a very short time period.  Following the initial Attention Validation Sequence screen, AMT will periodically and (without warning) initiate additional Attention Validation Sequence to ensure that the user is not driving a motor vehicle.  If the user fails to respond exactly, and in the required time period, with respect to every validator screen, AMT will disable the phone&#39;s messenger services until the phone has stopped moving for a period of time.  </p><p>Drive Safely Corp.&#39;s Chief Operating Officer, Jerry Schaffer, explains: &#39;AMT is unique insofar as the product allows each State to set the parameters for initiation.  In other words, New York State may decide that AMT should begin initiation whenever the phone reaches 5 mph, but Illinois may decide that initiation should begin at 20 mph &#8211; AMT allows each State to customize the initiation speed. Our studies have shown that passengers are not inhibited in their ability to text while in a moving car since they can readily pass the Attention Validation Sequence that most drivers fail.  Finally, what truly distinguishes AMT from every other product is that AMT is designed to be broadcast to all mobile phones from each carrier as a component of their respective networks. Products other than AMT are designed to be downloaded on an individual&#39;s phone, which allows the software to be enabled or disabled at will.  With AMT the user cannot disable the product, which ensures uniform enforcement.&#39;  Schaffer also added that: &#39;It is critical to understand that DSC&#39;s technology has no effect on the user&#39;s ability to place and receive telephone calls or access 911 emergency messaging.  Disabling the phone&#39;s messenger services has no effect on the phone&#39;s other features, although these controls can be added as required by law.&#39;    </p><p>Drive Safely Corp. has no competitors.      <content:encoded><![CDATA[<p>BOP&#39;s Failure to Adequately Respond to FOIA Request Prompts Letter to Department of Justice</p><p>WASHINGTON &#8211; The American Civil Liberties Union today demanded that the Bureau of Prisons (BOP) release all records in its possession related to attempts by prison officials to purge from federal prison chapel libraries any religious material arbitrarily deemed to be unacceptable.</p><p>The demand, articulated in a letter sent to the U.S. Department of Justice&#39;s Office of Information and Privacy, follows the failure by BOP officials to adequately respond to a Freedom of Information Act (FOIA) request filed last spring by a California graduate student writing a thesis on the censoring of religious materials in federal prisons.</p><p>&#34;The refusal of prison officials to provide a full accounting of their rationale for banning religious material is just the latest example of an ongoing effort to secretly and unconstitutionally censor material they consider to be unacceptable,&#34; said David Shapiro, staff attorney with the ACLU National Prison Project. &#34;To deny prisoners their constitutional right to access religious materials is bad enough. But to attempt to do so in a way that skirts transparency and prevents the public from knowing what they are doing is entirely unacceptable.&#34;</p><p>In order to complete his master&#39;s degree in religion at Claremont Graduate University in Claremont, California, the student, Joshua C. Harris, is writing a thesis on the 2007 implementation of the Standardized Chapel Library Project (SCLP), which authorized BOP officials to purge from prison chapel libraries any material that was not on a list of &#34;acceptable&#34; publications that the libraries could maintain. Among those titles banned at the time were Maimonides&#39; &#34;Code of Jewish Law.&#34;</p><p>In order to obtain information about how it was decided what materials would be placed on the list of &#34;acceptable&#34; publications, what materials would be left off and who was charged with making those determinations, Harris filed a FOIA request in April asking for &#34;any/all documents that detail the reasoning behind, and implementation of, the [SCLP].&#34; The SCLP was a major undertaking that surely generated a substantial amount of records, but the BOP&#39;s September response to Harris&#39; FOIA request included only four documents.</p><p>&#34;The lack of information provided to me by BOP officials has certainly impeded my ability to complete my thesis, but that is only part of my concern,&#34; Harris said. &#34;My research is motivated by a general concern for the rights of prisoners, particularly their religious freedoms. Incarcerated populations are especially vulnerable to abuses of power, in part, because prisoner issues, such as the censorship of religious materials, are largely invisible to the public. I&#39;m concerned that policies directly impacting federal prisoners are being devised and implemented without any public awareness or debate.&#34;</p><p>The 2007 implementation of the SCLP sparked harsh criticism from lawmakers and religious leaders across a broad ideological spectrum and, in 2008, prompted Congress to pass a provision of the Second Chance Act that allows BOP officials to restrict only those materials &#34;that seek to incite, promote or otherwise suggest the commission of violence or criminal activity&#34; or &#34;any other materials prohibited by any other law or regulation.&#34; The Act explicitly forbids any further attempt &#34;by whatever designation that seeks to restrict prisoners&#39; access to reading materials, audiotapes, videotapes or any other materials made available in a chapel library.&#34;     </p><p>Despite the existence of the Act, however, BOP earlier this year proposed a new rule that seeks to restrict prisoners&#39; access to materials in defiance of the law. The watered-down standard in the proposed rule would allow any book to be banned if it is determined that it &#34;could&#8230;suggest&#34; violence or criminal activity, regardless of whether there is any intent to cause violence or even a reasonable possibility that violence will result. Works such as the Bible, the Qur&#39;an and Martin Luther King&#39;s &#34;Letter From a Birmingham Jail&#34; could be left vulnerable because, theoretically, they could suggest violence or criminal activity to a reader.</p><p>The proposed rule would also allow BOP to ban books that are seen as &#34;advocating or fostering violence, vengeance or hatred toward particular religious, racial or ethnic groups&#34; or books that are deemed to advocate &#34;for the overthrow or destruction of the United States.&#34;</p><p>In March, the ACLU filed formal comments with BOP&#39;s Office of General Counsel opposing the proposed rule. The comments were signed by a diverse coalition of religious organizations including the Baptist Joint Committee for Religious Liberty, the American Jewish Congress and Muslim Advocates. Most lenders typically require a hardship letter explaining why the borrower has fallen behind on their mortgage. Because of the current mortgage crisis, the more prepared someone is when submitting a request for a loan modification, the better chance they have at getting the modification.      <content:encoded><![CDATA[<p>&#39;I have had a number of complaints from my clients that the state is unnecessarily mandating uniform elevator keys simply for a convenience factor and they don&#39;t want to pay the cost to comply,&#39; says 35-year elevator veteran and owner of Eagle Elevator, Russell Renick. &#39;And I respectfully educate my clients on the importance of the uniform elevator key because it allows fire fighters to quickly gain control of the elevators and save lives in emergency situations. Imagine a scenario where firefighters could not gain control. It could be a nightmare where occupants are trapped in a burning building and the outcome is fatal. The cost of implementing the uniform elevator key is minimal compared to the potential consequences of not complying.&#39; states Renick.</p><p>As of October 1, under the Uniform Fire Key standard, Chapter 399 Florida Statutes requires one single key to operate all of the fire service key switches in the elevator lobby panels and car panels. Master elevator keys may be issued only to the fire department and the key may not be duplicated. The Regional Emergency Elevator Access, Section 399.15, Section 17 requires all buildings with six or more stories to comply. If it is technically, financially, or physically impossible to comply, then the local fire marshal may allow substitute emergency measures.</p><p>The Division of State Fire Marshal of the Department of Financial Services enforces this section.      <content:encoded><![CDATA[<p>According to the Kelly Report, MPs&#39; ability to claim for accountancy costs should be scrapped. </p><p>A report published in The Daily Telegraph revealed that many MPs use their tax-free office expenses to pay accountants, who have been drafted in to help them complete their annual tax returns. </p><p>&#39;It seems unfair that MPs should be allowed to claim for accountancy costs and then use their tax-free expenses to pay for it. Ordinary voters are prevented from claiming for accountancy services, it isn&#39;t considered a legitimate business expense&#39; says Kevin Kinsella, chief executive of UK tax experts KinsellaTax Investigations Ltd. </p><p>According to the Telegraph report at least 42 Government ministers, including the Chancellor Alistair Darling, claimed a total of &#163;25,000 for individual tax advice.</p><p>Kevin Kinsella continues, &#39;HMRC is now investigating several of the MPs implicated in order to find out whether tax laws have been broken. It seems that out of all the ministers involved, only five paid tax on their accountancy perk, despite being required to under UK tax laws.&#39;</p><p>The Kelly Report itself admits that current guidelines allow MPs to claim for accountancy costs however, it suggests that &#39;It is difficult to see how this practice can be justified. (<a href="http://finance.google.com/finance?q=EBAY" target="_blank">NASDAQ: EBAY</a>) today announced that the investor group led by Silver Lake, which had previously entered into a definitive agreement to acquire a majority stake in Skype from the company, has reached a settlement agreement with Joltid Limited and Joost N.V. that gives Skype ownership over all software previously licensed from Joltid and ends all litigation currently pending against the investor group and eBay at the closing of the acquisition.</p><p>As part of the settlement agreement, Joltid and Skype founders Niklas Zennström and Janus Friis will join the investor group, contributing Joltid software and making a significant capital investment in exchange for a 14 percent stake in Skype. As a result, Silver Lake and other investors including Andreessen Horowitz and the Canada Pension Plan Investment Board (CPPIB), will together hold 56 percent of Skype and eBay will retain 30 percent. As previously announced, eBay will receive approximately $1.9 billion in cash upon the completion of the sale and a note from the buyer in the principal amount of $125 million. The deal, which values Skype at $2.75 billion and is not subject to a financing condition, is expected to close in the fourth quarter of 2009.</p><p>&#39;Skype will be well positioned to move forward under new owners with ownership and control over its core technology,&#39; said eBay Inc.
