Currently in its second season on CBS, The Mentalist has emerged as one of the hottest shows on broadcast television. (<a href="http://finance.google.com/finance?q=EBAY" target="_blank">NASDAQ: EBAY</a>) today announced that the investor group led by Silver Lake, which had previously entered into a definitive agreement to acquire a majority stake in Skype from the company, has reached a settlement agreement with Joltid Limited and Joost N.V. that gives Skype ownership over all software previously licensed from Joltid and ends all litigation currently pending against the investor group and eBay at the closing of the acquisition.</p><p>As part of the settlement agreement, Joltid and Skype founders Niklas Zennström and Janus Friis will join the investor group, contributing Joltid software and making a significant capital investment in exchange for a 14 percent stake in Skype. As a result, Silver Lake and other investors including Andreessen Horowitz and the Canada Pension Plan Investment Board (CPPIB), will together hold 56 percent of Skype and eBay will retain 30 percent. As previously announced, eBay will receive approximately $1.9 billion in cash upon the completion of the sale and a note from the buyer in the principal amount of $125 million. (<a href="http://finance.google.com/finance?q=CYCL" target="_blank">Nasdaq:CYCL</a>). Within the same timeframe, AT&#38;T signage will be installed in all Centennial locations. Former Centennial wireless subscribers may keep their existing rate plans, but they will also have the opportunity to migrate to AT&#38;T rate plans without activation or upgrade fees. Existing AT&#38;T customer contracts will not change.</p><p>In Puerto Rico, the Centennial brand will continue through mid-2010. AT&#38;T will honor the current rate plans and contracts of Centennial wireless subscribers. AT&#38;T expects upfront integration costs will result in minimal dilution to EPS and cash flow in 2009. As previously announced, Centennial stockholders will receive $8.50 per share in cash. Including net debt, the transaction is valued at $2.7 billion. AT&#38;T will take prompt actions to redeem all of Centennial&#39;s outstanding debt under its indentures and credit agreement.</p><p>Regulatory Approval Process<br />AT&#38;T&#39;s acquisition of Centennial has been reviewed and approved by the Federal Communications Commission (FCC). Pursuant to a consent decree, the U.S. Department of Justice (DOJ) and the Attorney General of the State of Louisiana have agreed to permit the merger to close.</p><p>As a result of the FCC and DOJ review processes, AT&#38;T agreed to divest operations in eight service areas: Alexandria, La., Lafayette, La., LA-3 (DeSoto), LA-5 (Beauregard), LA-6 (Iberville), LA-7 (West Feliciana), MS-8 (Claiborne) and MS-9 (Copiah). Per the terms of a definitive agreement signed in May 2009, AT&#38;T has agreed to divest to Verizon Wireless five of the Centennial service areas covered under the DOJ ruling. These five service areas are Lafayette, La., LA-5 (Beauregard), LA-6 (Iberville), LA-7 (West Feliciana) and MS-8 (Claiborne). AT&#38;T now expects that this transaction will close in the first quarter of 2010, once the companies obtain regulatory approvals. AT&#38;T also has a definitive agreement with Verizon Wireless to acquire wireless properties Verizon Wireless is divesting as a result of its acquisition of Alltel. That transaction is also subject to regulatory approvals and is expected to close in the fourth quarter of 2009.</p><p>To secure FCC approval of the transaction, AT&#38;T committed to honor agreements for roaming on Centennial&#39;s network. AT&#38;T will honor existing roaming agreements with other carriers for the life of the contract &#8212; or, for carriers with fewer than 10 million subscribers, will maintain the roaming agreement for at least four years or the full term of the agreement with Centennial, whichever is longer. The implementation of these measures will take place pending the required approvals from the Supervisory Board and the co-determination bodies.</p><p>&#34;The current economic situation requires a lean organization with clearer, explicitly defined responsibilities for business results, and short decision-making paths. We must restore operational and economic balance to DB Schenker Rail, especially in Germany,&#34; said Dr. Alexander Hedderich, CEO of DB Schenker Rail. &#34;Our company&#39;s numerous activities in Europe have to be linked together to form a real network in order to generate benefits for our customers and foster business success. Plans call for the business unit to continue to be organized into three regional business segments: Germany/Region Central, Region West and Region East, as well as four business unit functions managed on a pan-European basis: Sales, Operations, Human Resources and Finance. The new dimension will be that the previous Automotive and Intermodal Business Segments will be integrated into the European and German sales organization. Development of a separate combined transport (CT) railroad at Intermodal will be discontinued. The individual companies assigned to the regions will be responsible for their profit and loss.</p><p>Parallel to the structural modifications, there will also be changes in the management of the business unit and the business segments. Alexander Hedderich, Head of the business unit, will also be placed in charge of the Germany/Region Central Business Segment. Hans-Georg Werner, the current Head of Intermodal, will take over as Head of Region East. Region West will continue to be managed by Keith Heller. Karsten Sachsenröder will continue as Head of Sales Europe and Region Central, and will also be temporarily responsible for Intermodal activities. Axel Marschall will continue as Head of Automotive Europe.</p><p>Christian Kuhn will be responsible for Operations at the European Management Board level as well as in the Germany/Region Central Business Segment. Kuhn is returning to DB Schenker Rail, although he will continue as a member of the IQ Martrade Holding and Management advisory board, as well as a member of the Board of Directors of their Indian subsidiary company, Tata Martrade International Logistics Ltd. Mercedes-Benz was able to increase sales significantly in October by seven percent to 88,400 units (October 2008: 82,500. The smart brand sold 9,300 (October 2008: 11,300) units (minus 18 percent). With the delivery of 97,700 passenger cars (October 2008: 93,800), total sales at Mercedes-Benz Cars increased by four percent. The October sales increase was due to the E-Class and the new generation of the S-Class as well as to high growth rates in many regions such as North America and Asia/Pacific. Sales of Mercedes-Benz vehicles were also above last year&#39;s level in Western Europe.</p><p>&#39;We will continue this positive trend in the coming months, and we expect sales in the fourth quarter to be above the level of the same period of last year,&#39; said Dr. Joachim Schmidt, Head of Sales and Marketing, Mercedes-Benz Cars. Contributing to this development will be the new E-Class and the new generation S-Class, as well as the ongoing strong growth rates in the Asia/Pacific region, particularly in China. As a result, since the start of the year, Mercedes-Benz has been the fastest-growing premium brand in China. In October, Mercedes-Benz Cars also delivered more vehicles than ever before to the Asia/Pacific region as a whole, handing over 14,100 passenger vehicles to customers (October 2008: 10,500) for an increase of 34 percent. High growth rates were also posted in October in Australia (up 22 percent) and South Korea (up 63 percent).</p><p>In the United States, October was the best month of the year so far for Mercedes-Benz. Sales bucked the general market trend, rising by 21 percent to 18,200 units (October 2008: 15,000). This was the first time this year that sales were substantially higher than in 2008, and ensured that Mercedes-Benz remains the strongest German premium brand in the U.S. Contributing factors here included the E-Class, deliveries of which tripled to 6,100 units, and the GLK, which was once again the best-selling vehicle in its class in October, with deliveries of 1,800 units. Meanwhile, Mercedes-Benz posted another sales record in Canada in October, increasing customer deliveries by 28 percent to 2,200 passenger vehicles (October 2008: 1,700).</p><p>In the Western Europe region (not including Germany), Mercedes-Benz increased its sales by seven percent in October, thanks in particular to the high increases for the new E-Class. The brand enjoyed strong growth amounting to 55 percent in the UK, with a total of 5,800 units sold.</p><p>Sales of new E-Class continued to develop positively in the past month, with worldwide deliveries doubling in October to 17,100 units. Double-digit sales increases were registered in almost all markets. That made it once again the clear market leader in its segment. The company expects the launch of the new station wagon, which can be seen at dealerships starting on November 21, to give an additional positive boost to the E-Class family.</p><p>The new generation of the S-Class also got off to a successful start. Worldwide sales of the S-Class sedan were slightly above the previous year&#39;s level. Since the beginning of this year, the sedan has been the best-selling sedan in its segment. In China, which is now the biggest market for the S-Class, 1,100 luxury sedans were delivered to customers in October alone, which represents an increase of 12 percent. The sedan also sold very well in Germany, with an increase of 42 percent, and in Japan, where October sales increased by 13 percent. Mercedes-Benz sold 15,100 units of its SUVs worldwide (2008: 14,800), with an increase of two percent. The annual award - presented on November 3 in York, United Kingdom - recognizes the project or process that best demonstrates a chemical engineering solution to improve resource efficiency, lifetime value and/or process optimization.</p><p>The Dow-BASF innovation offers distinct economic and environmental benefits when compared to conventional propylene oxide (PO) process technologies. A joint eco-efficiency study conducted by the two companies in 2007 revealed the new HPPO process reduces wastewater by 70 to 80 percent and energy use by approximately 35 percent, compared with existing PO technology. Shell and the government will now negotiate the details of an exploration contract.</p><p>The exploration area covers approximately 37,000 square kilometres, about the size of the Netherlands.      <content:encoded><![CDATA[<p>Air Liquide announces it has signed a long-term contract with Yutianhua, Shaanxi Yulin Natural Gas Chemical Industry</p><p>China owns the world&#39;s third largest coal reserves, and naturally looks into ways of valuing them in order to reduce its growing dependency on foreign energy sources and feedstock.<br />Several technologies based on coal gasification allow the transformation of coal into liquid petroleum or chemical products. These gasification processes require huge quantities of oxygen.</p><p>In this context, Air Liquide announces it has signed a long-term contract with Yutianhua, Shaanxi Yulin Natural Gas Chemical Industry. Under the terms of the agreement, Air Liquide will invest about &#8364;60 million in a new large Air Separation Unit (ASU) - with a production capacity of 2,700 tonnes of oxygen per day - to supply oxygen and nitrogen to Yutianhua. The ASU, designed and built by Air Liquide Hangzhou, the Air Liquide engineering center in China, will use Air Liquide&#39;s latest technologies providing both high reliability and energy efficiency.</p><p>Yutianhua, a natural gas based methanol player in China, has a current production capacity of 510 thousand tonnes per year. In 2008, Yutianhua launched an additional 600 thousand tonnes per year methanol coal-based project with a total investment of 3 billion RMB. This is the first phase of a major methanol project. Its unit is located in Yuheng Chemical Industrial Park of Yulin City, Shaanxi Province.
